The ownership of all the accounts is transitioned from OutdoCart.com (Legal name: OUTDO INC [outdoinc.com]) to Commmerce.com (Legal Name: Commmerce Revolution and Future Technologies Private Limited). All responsibilities, services, and liabilities associated with your account will now be handled by Commmerce Revolution and Future Technologies Private Limited. By continuing to use your account, you acknowledge and agree to this transition.
This page outlines our Terms of Service, which provide essential information regarding your legal rights. By utilizing Commmerce, you acknowledge and agree to comply with these terms. Commmerce is registered under the name COMMMERCE REVOLUTION AND FUTURE TECHNOLOGIES PRIVATE LIMITED, and 'Commmerce' is the trademark of the company. The name 'Commmerce' will be used hereafter to refer to the company and its services.
Welcome to Commmerce! By signing up for a Commmerce Account (as defined in Section 1.1) or by using any Commmerce Services (as defined below), you are agreeing to be bound by the following terms and conditions (hereinafter to be referred as “Terms of Service”). These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity or organization (hereinafter to be referred as “you” or “your”) and Commmerce (hereinafter to be referred as “Commmerce”, "Company", “we”, “us”, or “our”), concerning your use of and access to the sites, templates, products, applications, tools, services, and features (hereinafter to be collectively referred as, the "Services") provided by Commmerce (as defined below), including without limitation during free trials, on the websites and associated domains of www.commmerce.com as well as on Commmerce web, mobile, media form, media channel, and other applications linked, or otherwise connected thereto (collectively, the “Site”). If you do not agree to all the terms in this Agreement, you may not use or access the Services.
IT INCLUDES IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS AND COVERS AREAS SUCH AS INTELLECTUAL PROPERTY RIGHTS, LIMITATIONS OF LIABILITY, THE RESOLUTION OF DISPUTES BY ARBITRATION AND COPYRIGHT INFRINGEMENT.
Commmerce offers a comprehensive platform designed to unify all aspects of merchants' commerce activities. This platform features a diverse array of tools that empower merchants to build and customize online stores and sell across multiple channels, including web, mobile, social media, and other online venues. Additionally, Commmerce enables merchants to efficiently manage their products, payments, fulfillment, and shipping processes, while facilitating essential business operations, marketing, and advertising efforts. Engaging with both existing and potential customers becomes seamless through our Services. Any new features or tools added to our existing Services will also be governed by these Terms of Service.
We have tried to make this Agreement fair and straightforward, but feel free to contact us if you have any questions or suggestions. Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms of Service. Please review the Terms of Service, along with any referenced documents, to fully understand your legal obligations. By using Commmerce or any of its services, you agree to comply with these terms. We encourage you to periodically check back for updates.
I.ACCOUNT REGISTRATION AND RESPONSIBILITIES
1.1.REGISTRATION REQUIREMENTS
You must create a Commmerce account (hereinafter to be referred to as “Account”) to access and utilize the Services, which begins by signing up exclusively through our Single Sign-On (SSO) login system. As part of this registration process, you will use your email and password, which will serve as your unified login credentials for all Commmerce platforms. You must provide accurate and complete information, including your full legal name, business name, phone number, valid email address, and any additional details specified during the registration process. You are not required by law to provide such information; however, without it, you cannot use the services supplied. All information submitted must be kept current and up to date.
Commmerce reserves the right to verify the information provided and may reject applications or suspend accounts at our sole discretion if the information is found to be inaccurate, incomplete, or in violation of these Terms and Conditions. Your email address will be one of the relevant mode for password recovery. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, including any unauthorized use. Failure to comply with these registration requirements may result in account suspension or termination.
Commmerce reserves the right to reject your application for an Account or terminate an existing Account at our sole discretion, should we determine that the account holder is in violation of our policies or if any activity associated with the account poses a risk to our platform or community. Such actions may include, but are not limited to, fraudulent behavior, misuse of our services, or failure to adhere to relevant regulatory standards. In all cases, these decisions are made with careful consideration to ensure the ongoing integrity, security, and effectiveness of the Commmerce platform.
Auto-Pay Terminology
For the purposes of these Terms of Service and across all Commmerce products, services, interfaces, communications, and documentation, the terms “Auto-Pay”, “Autopay”, “Auto Pay”, “autopay”, or any similar variations or capitalization thereof shall be deemed to have the same meaning and shall refer to the recurring automatic payment functionality offered by Commmerce.
Any reference to Auto-Pay in these Terms or within the Commmerce platform shall be interpreted consistently, irrespective of the manner in which the term is displayed or represented.
1.1.1.“SUSPENSION & TERMINATION” CLAUSE
Commmerce reserves the right to suspend or terminate merchant accounts at its sole discretion in order to protect the integrity, security, and legal compliance of the platform. Such actions are not exercised arbitrarily and are typically triggered by specific violations, including but not limited to:
Fraudulent activity (e.g., fake products, cheating customers)
Violation of Commmerce’s Terms of Service, including misuse of platform features
Uploading prohibited, harmful, or unlawful content
Failure to comply with regulatory or legal obligations
Security threats such as compromised accounts, malicious code, or unauthorized access attempts
Repeated non‑responsiveness to critical communications from Commmerce
Abuse of trial periods or creation of multiple stores for unauthorized commercial use
Commmerce may initiate immediate suspension without prior notice in urgent cases, particularly where platform integrity, customer safety, or regulatory compliance is at risk. In such cases, Commmerce will issue a post‑action notification within twenty‑four (24) to forty‑eight (48) hours to the merchant’s registered email address, outlining the reason for suspension and any remedial steps required.
For non‑critical violations (such as policy misuse, documentation gaps, or incomplete compliance), Commmerce will generally issue a written notice via email and provide the merchant with a reasonable opportunity to remedy the issue before termination.
Merchants retain the right to request a formal review of any suspension or termination by submitting a written request to support@commmerce.com. Each case will be evaluated individually, and reinstatement may be granted if the merchant resolves the issue and demonstrates compliance going forward. Commmerce aims to respond to review requests within ten (10) business days, though complex cases may require additional time.
1.2.AGE REQUIREMENTS
To register for an account with Commmerce, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater. By registering for an account, you affirm that you meet this age requirement and possess the legal capacity to enter into binding agreements.
If you are under 18 but at least 13 years old, you may use the Services only with the consent of a parent or legal guardian. As part of this consent, Commmerce requires an email‑based attestation from the parent or guardian, sent to support@commmerce.com, confirming that they have reviewed and agreed to these Terms of Service on your behalf. Commmerce reserves the right to request additional verification, such as government‑issued identification or signed consent forms, to validate the guardian’s authorization.
It is the responsibility of the parent or guardian to ensure that the minor complies with these Terms. Commmerce may suspend or terminate access if guardian consent is not properly documented or verified.
If you are registering on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. Commmerce reserves the right to request verification of your age and authority, and may suspend or terminate access to the Services if it is discovered that you do not meet the stipulated requirements.
1.3.PRIMARY EMAIL ADDRESS
During the registration process with Commmerce, you are required to provide a valid email address, which will serve as the “Primary Email Address” for all communications related to your account. This email address must be monitored regularly, as it will be the primary means of contact for important updates, notifications, and account-related information.
You are responsible for ensuring that the Primary Email Address is accurate, up-to-date, and capable of both sending and receiving messages. It is essential that communications pertaining to the Services, including but not limited to security alerts and promotional information, can be authenticated and responded to from this email address. Commmerce is not liable for any loss or disruption of Service resulting from the merchant’s failure to provide or maintain an accurate Primary Email Address.
If you need to update your Primary Email Address, you must send an e-mail to support@commmerce.com to ensure uninterrupted communication. Additionally, ensure that any spam filters or security settings do not block messages from Commmerce to avoid missing important information.
1.4.CONTACT INFORMATION
For any inquiries, support requests, or concerns regarding our Services, it is crucial that you provide a valid phone number as part of your account registration and management process. This phone number will serve as a primary point of contact for communication between you and Commmerce, enabling us to assist you effectively and promptly address any issues that may arise. Commmerce may use this contact information to notify you of important updates, changes to your account, or Service‑related information.
It is your responsibility to ensure that the phone number you provide is accurate and current. Any failure to keep your contact information updated may result in delays in receiving important communications or support. By providing your phone number, you consent to receive calls or messages from Commmerce regarding your account and our Services, including operational updates and promotional content. You understand that these communications may occur through automated dialing systems or prerecorded messages.
Merchants may opt out of promotional content at any time by sending a request to support@commmerce.com. However, merchants cannot opt out of operational, security, or legal notices, as these communications are mandatory to ensure compliance, account integrity, and uninterrupted service.
1.5.ACCOUNT SECURITY
You are responsible for maintaining the confidentiality and security of your Account credentials, including your password. Commmerce is not liable for any loss or damage resulting from your failure to keep your Account and password secure. Commmerce is not liable for any acts or omissions by you or anyone else in connection with your Account or Accounts. Commmerce may request additional security measures at any time, and we reserve the right to adjust security requirements at our discretion.
You must immediately notify Commmerce if you suspect that your Account or password has been compromised or there is any unauthorized use of your Account. In the event of a security incident or data breach affecting your Commmerce Store, you are required to notify Commmerce within twenty‑four (24) hours of discovery, providing all relevant details to assist in investigation and remediation.
You are responsible for your Account, and the products you upload to the operation of your Commmerce Store. If you violate Commmerce’s terms of service we may cancel your service access. If we need to reach you, we will communicate via the Primary Email Address or phone number provided during registration. It is your responsibility to ensure that these contact details are current and accessible.
We’re not liable for, and won’t provide you with any legal advice regarding, your sites or your end users. This does not limit or affect any liability we may have to you separately for any breach of the other provisions of this Agreement. Additionally, Commmerce reserves the right to modify these terms at any time, and your continued use of the services indicates your acceptance of any such modifications.
1.6.USAGE OF YOUR SITE FEATURES
As a merchant of Commmerce, you acknowledge that we may choose to showcase your sites, excluding any scheduling pages, along with any names, trademarks, service marks, or logos that are associated with them. By using our Services, you grant us a perpetual, worldwide, royalty-free, non-exclusive license to utilize any version or portion of your sites; including, but not limited to, names, trademarks, service marks, or logos, solely for the purpose of marketing and promoting Commmerce. This could involve featuring your sites on our Templates page, within the Customers section of our website, or through our social media channels.
You also agree to waive any claims against Commmerce related to moral rights, artists' rights, or similar rights you may hold in relation to your sites or any associated names or trademarks. Additionally, you relinquish any rights to inspect or approve how your sites are used in these promotions.
1.6.1.REVOCATION OF SHOWCASE RIGHTS
Merchants who have granted Commmerce the right to showcase their sites, logos, trademarks, or other brand elements for promotional purposes retain the ability to revoke this license at any time. If you wish to withdraw your consent for such use, you may do so by submitting a formal request to support@commmerce.com with the subject line “Showcase Opt‑Out Request.”
Upon receiving your request, Commmerce will immediately cease all future promotional use of your brand assets, including both internal platform showcases (such as templates, dashboards, or customer highlights) and external advertising campaigns (such as social media posts, digital ads, promotional decks, or investor presentations). Commmerce will begin withdrawal of brand materials from active external campaigns where feasible, and will complete removal from internal references within fifteen (15) business days.
If brand assets have already been published or distributed through third‑party channels (such as print media, syndicated content, or partner campaigns), Commmerce may have limited control over the timing or feasibility of withdrawal. In such cases, Commmerce will issue a formal retraction or opt‑out communication to the relevant third party, but the actual removal may depend on that third party’s policies. Previously circulated materials (such as printed brochures or archived posts) may remain available beyond Commmerce’s direct control, but no new promotional use will occur after the opt‑out date.
Revocation of showcase rights does not affect Commmerce’s ability to use anonymized or aggregated data for analytical or operational purposes, nor does it impact any other licenses granted under these Terms of Service.
1.7.MERCHANT RESPONSIBILITIES AND CODE OF CONDUCT
As a merchant of Commmerce’s services, you are expected to adhere to the following guidelines regarding the use of our platform and services. You must not copy, duplicate, alter, create derivative works, download, translate, or reverse engineer any part of Commmerce’s website, services, content, or third‑party services without the explicit written consent of Commmerce, except as allowed within these terms. You are prohibited from submitting or displaying any user‑generated content or licensed content that may be considered defamatory, obscene, harassing, or otherwise harmful, and which violates the rights of Commmerce or any third parties.
You must refrain from engaging in unlawful activities, such as illegally obtaining login credentials for other websites or collecting sensitive financial information unless compliant with applicable laws. The uploading of malicious content, spyware, or harmful code onto Commmerce’s services is strictly forbidden, as is the unauthorized publication or use of Commmerce’s services or licensed content outside of our provided channels. You must not utilize automated devices or scripts to access or monitor any portions of Commmerce’s services, nor should you attempt to disrupt or compromise the integrity and performance of the platform through probing or scanning for vulnerabilities.
Respecting the reputation of Commmerce is essential; therefore, any action that might damage our goodwill or bring disrepute is unacceptable. You may not purchase keywords that use Commmerce’s name or trademarks, impersonate any individual or entity, or provide misleading information regarding your association with Commmerce or any third party. Respecting the privacy of others is paramount; stalking or collecting personally identifiable information without consent violates our terms. Accessing Commmerce’s services or accounts via unauthorized means, including circumvention of security measures, is prohibited. You must also avoid imposing an excessive load on our infrastructure or engage in any form of unsolicited communications, such as spam or phishing.
Additionally, you agree not to bypass, circumvent, or exploit any technical limitations of the Services provided by Commmerce, including using tools to enable disabled features. Decompiling, disassembling, or reverse‑engineering any part of the Services is strictly prohibited. You also agree not to access the Services or monitor any products or information from the Services using automated means, such as robots, spiders, or scrapers. Using our services for competitive analysis or benchmarking with the intent to develop a competing product is strictly forbidden. You are also not permitted to alter or erase any copyright or trademark notices associated with Commmerce’s licensed content.
Indemnity Obligation: In addition to the responsibilities outlined above, you expressly agree to indemnify, defend, and hold harmless Commmerce, its affiliates, directors, officers, employees, and agents against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from (i) your breach of these Terms of Service, (ii) your misuse of Commmerce’s Services, (iii) any third‑party claims related to products, services, or content offered by you through Commmerce, or (iv) any violation of applicable laws or regulations by you or your business. This indemnity obligation shall survive termination or expiration of these Terms of Service and is further reinforced under Section XVI (Limitations of Liability and Indemnification), which confirms that any remedies provided by Commmerce in cases of proven negligence or system failure are discretionary, assessed case‑by‑case, and subject to the liability cap of subscription fees paid in the twelve (12) months preceding the event.
By utilizing Commmerce’s services, you acknowledge and agree to comply with these guidelines and indemnity obligations, and you understand the potential consequences of non‑compliance, which may include immediate suspension or termination of your account, legal action, or other disciplinary measures as deemed appropriate by Commmerce.
1.8.TRIAL PERIOD
Commmerce offers merchants the opportunity to utilize a three (3) day subscription free of charge, as announced and periodically updated at Commmerce’s discretion. The trial period commences immediately after you select your desired plan and theme. At the conclusion of this trial period, you may decide whether to continue using the platform under a paid subscription. Commmerce reserves the right to modify the specified trial duration at any time.
During the trial period, merchants’ sites will be assigned subdomains owned by Commmerce. Commmerce retains full authority to cancel or suspend access to any subdomain at its discretion and without obligation to provide reasons. Merchants acknowledge and accept that all subdomains belong to Commmerce and that Commmerce may terminate or suspend a merchant’s account and associated subdomain at any time, without notice or liability, including immediate removal of any content linked to the account.
Trial stores will not be able to complete checkout until they transition to a paid subscription. Upon completion of the trial, merchants may subscribe to Commmerce at a rate of fifteen rupees (₹15) per month for the first three (3) months, with the auto‑pay option enabled by default. This introductory ₹15/month pricing is promotional and separate from the standard plan prices listed in Annexure A. During this introductory period, merchants may utilize the Free Tier usage limits of whichever plan they select, as published on the Commmerce Pricing page (www.commmerce.com/pricing). For example:
Solo Plan Free Tier: Up to ₹6 lakhs/year revenue with no platform fee; 2% platform fee applies thereafter.
Grow Plan Free Tier: Up to ₹24 lakhs/year revenue with no platform fee; 1% platform fee applies thereafter.
Advanced Plan Free Tier: Up to ₹72 lakhs/year revenue with no platform fee; 0.5% platform fee applies thereafter.
Ultimate Plan Free Tier: Up to ₹3 crores/year revenue with no platform fee; 0.25% platform fee applies thereafter.
A “My Subscription” option will be available in the admin panel, including a “Free Tier” section, which will display the used free-tier revenue details for the month and year depending on the plan chosen.
Auto‑Pay Terms:
For monthly subscriptions, Commmerce will initiate auto‑pay deductions three (3) days in advance of the renewal date.
For yearly subscriptions, Commmerce will initiate auto‑pay deductions fifteen (15) days in advance of the renewal date.
Merchants will receive an update notification of the deduction one (1) day prior to the charge (i.e., on the 4th day for monthly subscriptions and on the 16th day for yearly subscriptions, calculated from the validity end date).
Authorization for Recurring Payments
By enabling auto-pay or proceeding with a subscription where auto-pay is enabled by default, the merchant expressly authorizes Commmerce and its payment partners to initiate recurring debit transactions in accordance with applicable Reserve Bank of India (RBI) guidelines on e-mandates and recurring payments.
This authorization permits Commmerce to debit applicable subscription fees, platform fees, or other charges on a recurring basis, subject to prior notifications, applicable thresholds, and regulatory requirements.
Merchants may disable auto-pay at any time through their account settings. Disabling auto-pay does not waive the merchant’s obligation to complete payment before the subscription expiry or renewal date. Failure to do so may result in suspension of Services.
If a merchant receives an order through their Commmerce website during the trial, they must promptly purchase a subscription and authorize automatic payment in order to accept and fulfill the order. Failure to transition from the trial phase to an active paid subscription plan, including failure to enable or complete auto‑pay, will result in immediate suspension of checkout functionality, blocked transactions, and potential deletion of account data. Merchants who choose to opt out of auto‑pay are solely responsible for manually completing subscription payments before the expiry of the trial or renewal date. If manual payment is not completed on time, Commmerce will suspend the account without further notice, and services will remain inaccessible until payment is successfully processed. Commmerce does not provide any grace period beyond the trial expiry, and merchants are required to ensure timely activation of a paid subscription to avoid disruption.
Merchants are strictly prohibited from abusing the trial period, including but not limited to creating multiple stores for unauthorized commercial use, exploiting trial access to bypass subscription requirements, or engaging in fraudulent activity. Such misuse constitutes a violation of these Terms of Service and may result in immediate suspension or termination of the account without prior notice.
Throughout the trial period, merchants may receive communications from Commmerce via email, text messages, or other methods, including updates, promotional offers, and payment reminders. By participating in the trial, merchants consent to receive such communications and acknowledge that failure to respond to critical notices may impact account status.
1.8.1. YDS X COMMMERCE MERCHANTS
Merchants who select the YDS X Commmerce plan and engage in print‑on‑demand services through YDS are subject to the following terms. A three (3) day free trial is provided, after which merchants may subscribe directly to an annual plan at a rate of nineteen thousand nine hundred ninety‑nine rupees (₹19,999) including GST per year, or continue under a monthly plan at one thousand nine hundred ninety‑nine rupees (₹1,999) including GST per month following the initial three (3) month period.
During the first three (3) months, merchants are charged fifteen rupees (₹15) per month, with the auto‑pay checkbox enabled by default. These deductions are made directly from the merchant’s YDS wallet. Unlike standard Commmerce plans, YDS X Commmerce merchants do not receive Free Tier revenue allowances, and trial orders are not permitted.
Auto‑Pay Terms:
For monthly subscriptions, Commmerce will initiate auto‑pay deductions three (3) days in advance of the renewal date.
For yearly subscriptions, Commmerce will initiate auto‑pay deductions fifteen (15) days in advance of the renewal date.
Merchants will receive an update notification of the deduction one (1) day prior to the charge (i.e., on the 4th day for monthly subscriptions and on the 16th day for yearly subscriptions, calculated from the validity end date).
From the first order onwards, a flat fee of fifteen rupees (₹15) including GST per fulfilled order is applicable. No fee will be charged for cancelled or rejected orders. Merchants acknowledge and agree that these charges are mandatory and non‑refundable, and that Commmerce reserves the right to enforce compliance with these payment terms to maintain the integrity of the YDS X Commmerce program.
Merchants must accept or reject all orders within seven (7) calendar days of placement. Orders not accepted or rejected by midnight (12:00 AM IST) of the seventh day will be automatically cancelled, and the full order value refunded to the customer. Merchants may accept an order within the stipulated seven (7) day period and fulfil it at any time thereafter, provided that acceptance occurs within the required timeframe. Commmerce will issue automated email notifications to merchants regarding pending orders, including reminders when two (2) days or forty‑eight (48) hours remain before automatic cancellation. Failure to act within the specified period will result in cancellation and refund initiation without further notice.
All orders under the YDS X Commmerce plan will be processed and fulfilled exclusively by YDS. Merchants are required to maintain a minimum balance in their YDS wallet or enable the auto‑wallet recharge option to ensure uninterrupted processing of subscriptions and orders. If the wallet balance falls below the required threshold and auto‑recharge is not enabled, orders cannot be processed until sufficient funds are available.
1.9.STORE OWNERSHIP AND ACCOUNT RESPONSIBILITIES
Subject to Section 1.1, the individual registering on Commmerce by creating an Account will be recognized as the contracting party (“Store Owner” or the “Admin” or the “Merchant”) under these Terms of Service. The Store Owner will be the person authorized to utilize any Account provided in connection with Commmerce. It is the Store Owner’s responsibility to ensure that their name (including the legal name of the business entity that owns the Store, if applicable) is prominently displayed on the Store’s website.
If you are registering for the Services on behalf of your employer, your employer shall be designated as the Store Owner. In such instances, you must use an email address issued by your employer, and you represent and warrant that you possess the necessary authority to bind your employer to these Terms of Service. The Store Owner may grant access to other users, with the extent of such access determined by the subscription plan selected on Commmerce.
Each Commmerce Store may only be associated with a single Store Owner. However, a Store Owner is permitted to manage multiple Commmerce Stores. The term “Store” encompasses the online storefront (whether hosted by Commmerce or a third‑party website).
The Store Owner must regularly review and maintain the accuracy of Account information and ensure that any additional users granted access to the Store understand and comply with Commmerce’s Terms of Service. The Store Owner remains fully responsible for all activities conducted under their Account, including actions taken by authorized users, and must promptly report any unauthorized access or discrepancies to Commmerce.
In the event of account suspension or termination, refunds are generally not provided where termination results from merchant fault, violation, or breach of these Terms of Service. However, if an account is terminated without any fault or misconduct on the merchant’s part (for example, due to platform‑wide changes, technical incompatibility, or Commmerce‑initiated discontinuation), the case will be reviewed in good faith. In such no‑fault scenarios, Commmerce will issue a fair pro‑rata refund or service credit, subject to verification. Merchants may submit a written request to support@commmerce.com, and Commmerce will provide a response within ten (10) business days.
By managing multiple Stores and sharing access with other users, the Store Owner agrees to uphold the integrity and security of Commmerce’s platform, ensuring compliance with all applicable policies and legal requirements. Failure to adhere to these guidelines may result in restrictions or penalties, including suspension or termination of the Account.
1.10.DOMAIN NAMES
When you acquire a domain name through Commmerce (domains.commmerce.com) or any third‑party provider, it is imperative to understand the significance of timely renewal. Your domain name serves as your unique online identity, and maintaining ownership is crucial to ensure continuous access to your website and uninterrupted service. All domain registrations come with an initial active period, which varies based on the specific domain extension chosen (e.g., .com, .in, .net).
To retain ownership of the domain name beyond the initial registration period, you must renew it before the expiration date. Failure to do so may result in the loss of ownership, rendering your website inaccessible to users and potentially leading to loss of business.
When you register a domain with Commmerce, an auto‑renewal feature is provided for your convenience. Commmerce retains the right to discontinue or modify domain services at its discretion. If Commmerce discontinues domain services due to its own fault or platform‑wide changes, merchants may be eligible for a discretionary pro‑rata refund or service credit, subject to verification. Merchants may submit a written request to support@commmerce.com, and Commmerce will respond within ten (10) business days.
By acquiring a domain through Commmerce, you acknowledge and accept these responsibilities regarding domain management. 1.11.PAYMENT GATEWAY INTEGRATION
For merchants utilizing Commmerce, establishing a reliable payment processing system is essential for facilitating transactions. Merchants who do not have a payment gateway must sign up for one before they can successfully process payments through the platform. Commmerce is integrated with a variety of reputable payment gateways, including Razorpay, Cashfree, PhonePe, CC Avenue, PayU, and Paytm, giving merchants multiple options to choose from based on their specific needs and preferences.
If a merchant has already registered with one of the supported payment gateways, they will need to integrate that service into their Commmerce account. This integration process involves linking their existing payment gateway credentials to the Commmerce platform, enabling seamless transaction processing. Merchants are encouraged to follow the integration guidelines provided by Commmerce for each specific payment gateway to ensure a smooth setup experience.
It is crucial for merchants to thoroughly understand the terms, conditions, and fee structures associated with their chosen payment gateway, as these can vary significantly between providers. By ensuring that the payment gateway is properly set up or integrated, merchants can facilitate efficient payment processing, enhance customer checkout experiences, and improve overall business operations within Commmerce. Failure to comply with these payment gateway requirements may result in delays in processing payments and could impact the merchant's ability to conduct business effectively through the platform.
Commmerce does not control or guarantee settlement timelines, which may vary depending on the gateway, banking partners, or regulatory requirements. Any delays in settlement or fund transfer are the responsibility of the payment gateway and not Commmerce. Merchants are encouraged to review the applicable gateway terms and maintain accurate banking details to avoid disruptions.
Commmerce reserves the right to suspend or terminate gateway access if merchants engage in prohibited activities, fail to comply with gateway requirements, or pose a risk to platform integrity. Merchants remain responsible for all fees, chargebacks, and disputes arising from transactions processed through their Commmerce Store.

1.12.LOGISTICS INTEGRATION
In order to streamline shipping and fulfillment processes, merchants utilizing Commmerce are required to effectively integrate logistics solutions into their operations. Merchants who do not have an existing logistics partner must sign up with one of the logistics aggregators integrated with Commmerce, which include Shiprocket and Wareiq. These platforms facilitate automatic updates regarding shipping status and logistics tracking, thereby enhancing the overall order fulfillment experience and providing merchants with real-time information.
Most logistics partners associated with these platforms are part of various aggregators, allowing for efficient management of shipping options and delivery services. For merchants who prefer to utilize a third-party logistics partner outside of those integrated with Commmerce, this option remains available. However, it is crucial to note that if a third-party logistics partner is chosen, the merchant will be responsible for manually updating the tracking ID within the Commmerce platform. This manual update is essential for ensuring accurate communication with customers regarding their order status.
Merchants are advised to carefully evaluate logistics options and integrate solutions that align with their business needs, as efficient logistics management is critical to maintaining customer satisfaction. Additionally, failure to complete the necessary logistics integration or to properly manage order tracking could result in delays and complications during the fulfillment process, impacting the merchant's reputation and customer experience.

1.12.1Multiple Pickup Locations and Merchant Responsibilities
Merchants utilizing Commmerce's integrated logistics solutions, such as Shiprocket, have the capability to manage multiple product pickup points. You may configure and list these various pickup locations within your Shiprocket account, and this information will be reflected in your Commmerce backend for operational visibility. When an end-user places an order through your Commmerce-powered website, it is the sole responsibility of the merchant to manually select the correct product pickup location for that specific order within the Commmerce backend.
This manual selection is crucial as it dictates where the designated Shiprocket delivery personnel will collect the ordered product. Failure to accurately or timely select the appropriate pickup location may lead to significant delays in order fulfillment, mispickups, additional charges from the logistics provider, or even order cancellation. Commmerce is not responsible for any losses, delays, or additional costs incurred due to the merchant's failure to correctly manage pickup location selection for individual orders. By leveraging multiple pickup points, you acknowledge and agree to diligently manage this process to ensure efficient and accurate order fulfillment.
1.13. ORDER ACCEPTANCE AND FULFILMENT
Merchants are required to accept or reject all orders received through their Commmerce Store within seven (7) calendar days from the time of order placement. If an order is not accepted or rejected by midnight (12:00 AM IST) of the seventh day, the order shall be automatically cancelled, and the full order value will be refunded to the customer.
Merchants may accept an order within the stipulated seven (7) day period and fulfil it at any time thereafter, provided that acceptance occurs within the required timeframe. Commmerce will issue automated email notifications to merchants regarding pending orders, including reminders when two (2) days or forty‑eight (48) hours remain before automatic cancellation. Failure to act within the specified period will result in cancellation and refund initiation without further notice.
Additional Provisions:
Test Orders: If the payment gateway is set to sandbox/test mode, such transactions will be treated as test orders. No platform fee will be deducted from the merchant’s wallet or free tier balance, and refunds will be processed accordingly.
Platform Fee Minimum and Maximum Thresholds
Subscription plans include a platform fee calculated as a percentage of the order value, as specified on the Commmerce pricing page. Notwithstanding the applicable percentage, Commmerce may apply minimum and or maximum per-order deduction thresholds to such platform fees. Accordingly, the platform fee deducted for an order may be subject to a lower limit or an upper limit, even if the percentage-based calculation results in a lower or higher amount. The applicable minimum and maximum platform fee thresholds, if any, may vary by plan and may be updated from time to time. The latest applicable thresholds shall be published on the Commmerce pricing page available at https://commmerce.com/pricing/.
Merchants acknowledge and agree that platform fees shall be deducted in accordance with the applicable percentage and the corresponding minimum or maximum thresholds in effect at the time the order is processed. For avoidance of doubt, platform fee thresholds apply on a per-order basis and do not modify the published percentage rate of the subscription plan.
Trial Stores: Merchants operating trial stores will not be able to complete checkout until they transition to a paid plan.
Free Tier Exhaustion: Once the free tier amount is consumed, Commmerce may mask order details and disable the “accept order” functionality (both auto‑accept and manual options). Merchants must recharge their wallet to continue accepting orders seamlessly. An auto‑recharge option is available, allowing merchants to automatically top up their wallet when the balance falls below a specified threshold.
Order Cancellation/Refunds: Merchants retain the right to cancel or reject orders. Commmerce will initiate refunds immediately upon cancellation or rejection, ensuring timely resolution for customers.
Customer Communication: Merchants are responsible for informing customers of expected fulfilment timelines once an order is accepted.
Compliance Obligation: Merchants must ensure that order acceptance and fulfilment practices comply with applicable consumer protection laws and regulations.
Dispute Resolution on Order Acceptance
In the event of any dispute regarding whether an order was accepted or rejected within the stipulated seven (7) day period, Commmerce will first conduct an internal verification using its system records and logs. Merchants acknowledge and agree that Commmerce’s system records shall be deemed authoritative and conclusive evidence of the status of order acceptance, rejection, or cancellation. If the system shows that no acceptance action was taken within the required timeframe, the order will be treated as unaccepted and subject to automatic cancellation and refund, notwithstanding any contrary claim by the merchant.
1.14. CUSTOMER SUPPORT AND OFFICE HOURS
Commmerce’s official office hours are from Monday to Saturday, excluding holidays, between 10:00 AM and 7:30 PM (Indian Standard Time). Support services are available exclusively during these working hours.
Merchants may contact Commmerce for assistance through phone or email. All support requests can be sent directly to support@commmerce.com. Merchants may also get in touch with their assigned account managers through phone or email during office hours for personalized assistance.
While Commmerce strives to respond promptly, support responses may take up to forty‑eight (48) hours on working days. Requests submitted outside of office hours or on holidays will be addressed on the next working day.
Commmerce reserves the right to update or modify support channels and response timelines at its discretion. Merchants are encouraged to use the designated communication channels to ensure timely resolution of queries.
II.COMMMERCE RIGHTS
2.1.CONTROL OF SERVICES
Commmerce retains full discretion to modify, discontinue, or restructure any aspect of its Services, including but not limited to platform design, content, modules, third‑party integrations, and system architecture. While Commmerce continuously strives to improve its Services based on merchant feedback, we do not guarantee the implementation of any specific functionality, and merchants shall have no claim against Commmerce for such changes.
For material commercial or pricing changes, Commmerce will generally provide merchants with at least fifteen (15) calendar days’ prior notice before such changes take effect. Notification may be delivered through one or more channels, including email to the registered merchant contact address, in‑dashboard alerts, or announcements published on the Commmerce website.
However, in circumstances where immediate updates are required to comply with legal obligations, regulatory directives, or urgent security vulnerabilities, Commmerce reserves the right to implement changes without prior notice. In such cases, Commmerce will make reasonable efforts to communicate the updates as promptly as possible.
Merchants are responsible for keeping their contact information current and for reviewing notifications or policy updates regularly. Continued use of the Services following any update constitutes acceptance of the revised terms, policies, or pricing.
Furthermore, any changes made may affect your current subscription or access to specific features, and it is your responsibility to adjust your utilization of our Services accordingly. Should you have any questions or require clarification regarding any changes, please contact our support team or email us at support@commmerce.com. Your continued use of our Services following any modifications constitutes your acceptance of these changes.
2.2.RIGHT TO REFUSE OR REMOVE PRODUCTS
Commmerce reserves the right to refuse or remove any products, content, or products from any part of our Services, including your Store, at our sole discretion. This applies to any products that we deem inappropriate, offensive, or in violation of our policies or legal requirements. We maintain this authority to ensure compliance with applicable laws, to protect the integrity of our Services, and to uphold a positive experience for all merchants. By utilizing our Services, you acknowledge that Commmerce may take such actions without prior notice, and you accept responsibility for ensuring that any products you upload or display comply with Commmerce’s guidelines and applicable standards.
Commmerce is not responsible for your system backup and it is your own responsibility to back up and keep a copy of any content that you upload of any kind prior to uploading it to the system.
If a merchant does not purchase a subscription after the 3-day trial period or fails to renew their subscription upon expiration, the store will be suspended.
The store will remain in a suspended state for 45 days, during which the merchant can subscribe and resume operations seamlessly.
After the 45-day suspension period, data retrieval is not guaranteed. This deletion will occur without further notice following the 45-day suspension period. If restoration is possible, the merchant will be required to pay an additional restoration fee, which will be quoted by Commmerce prior to reactivation. The estimated timeline for data restoration will also be communicated to the merchant along with the quotation.
If the merchant wishes to delete their Store from Commmerce, they can do so by sending an email to support@commmerce.com, clearly stating the reason for the requested deletion. Please note that once the Store is deleted, all associated data and content will be permanently removed and cannot be recovered.
We encourage all merchants to actively manage their subscription status and ensure compliance with our policies to maintain uninterrupted access to our Services.
2.3.CONFIDENTIALITY AND NON-DISCLOSURE
While we may offer our services to your competitors, we want to assure you that your confidential information will always remain protected. We are committed to maintaining the privacy of your sensitive data and will never share, disclose, or sell your confidential information to any third parties, including competitors, under any circumstances. Our stringent security practices ensure that your business information is safeguarded at all times, allowing you to use our services with confidence.
We define "confidential information" as any data you provide that is not generally known to the public and may include, but is not limited to, business strategies, financial information, and customer data. Website Builder: An intuitive interface that allows you to create visually appealing and user-friendly webpages without needing extensive technical knowledge.
Product Management Features: Comprehensive functionalities that enable you to add, edit, and organize your products efficiently, including inventory management and product categorization.
Payment Processing: Secure and seamless payment solutions that facilitate transactions, allowing you to accept various payment methods from your customers.
Logistics: Tools that simplify order fulfillment, shipping management, and tracking, ensuring effective delivery processes for your products.

At Commmerce, we uphold the principle of freedom of expression while ensuring compliance with applicable laws and regulations. As such, you are prohibited from posting or sharing any content that is vulgar, sexually explicit, threatening, defamatory, or that encourages criminal activity or civil offenses. Additionally, you may not post content that violates the privacy rights of others, damages public sentiment, infringes on intellectual property rights, or contains any form of computer viruses. Commmerce reserves the right to refuse publication of any content that we believe violates these standards or may harm our platform or third parties. We may also delete any such content without prior notice.
Furthermore, Commmerce will not be held liable for any content that appears within our system or on any devices that access our platform, including the reliability, accuracy, or impact of such content on user devices. You acknowledge that any content you share will be visible to all users and that Commmerce cannot predict or control the reactions it may elicit. Consequently, Commmerce will not be responsible for any responses or repercussions that arise as a result of your posted content, including any damage, inconvenience, or loss experienced by you or any third parties.
By using Commmerce, you acknowledge and agree that you are solely responsible for your Store, including all aspects related to the products or services you offer, as well as your interactions and relationships with your customers. Commmerce provides the platform and tools necessary for you to create and manage your Store; however, we do not assume any responsibility for the content you provide, the legality and compliance of your goods or services, or the satisfaction of your customers. Any disputes, liabilities, or issues arising from your Store, including transactions, customer inquiries, and service fulfillment, are entirely your responsibility. By utilizing our Services, you accept and agree to manage these responsibilities independently while using our platform. These documents outline the rights and responsibilities of both you as the merchant and your customers, informing them about how their data will be handled, the conditions under which refunds or returns may be processed, and any applicable terms of service. Additionally, you must provide your contact information through the "Contact Us" form on your Store to facilitate effective communication with your customers. It is your responsibility to keep these policies updated and ensure they are easily accessible to users to maintain transparency and trust in your online business.
To ensure approval from the payment gateway, it is essential to keep these policies updated, as the gateway reviews both the policies and the website content prior to granting authorization for payment processing. Implementing these practices not only enhances user experience but also contributes to compliance with industry standards and legal requirements. It is critical to remain informed of these rules to foster a safe and compliant environment for all users of our Services.
4.5.PARTNER TRANSITION
In the event that a merchant wishes to transition from one Partner to another, such a change shall require prior written consent from Commmerce. The merchant must formally notify Commmerce of their intent to switch Partners, providing any necessary details and documentation regarding their current partnership and reasons for the transition. Upon receiving this notification, Commmerce will facilitate the transition process in accordance with its established policies and procedures.
This provision ensures that all parties maintain clear communication and that the integrity of the partnership framework is upheld during transitions. It is understood that Commmerce retains the sole discretion to approve or deny any requests for Partner changes in order to ensure a seamless experience for the merchant. In making its decision, Commmerce may consider factors such as compliance with partnership guidelines, the performance of the current Partner, and the merchant's specific needs. Commmerce reserves the right to approve, reject, or request additional information before making a final decision.
For a smooth transition, we encourage merchants to engage in open dialogue with both the current and prospective Partners to ensure alignment and understanding throughout the process. This approach will help facilitate a successful transition and contribute to the ongoing success of the merchant within the Commmerce ecosystem.
V.CONFIDENTIAL INFORMATION
"Confidential Information" refers to any and all non-public information related to a party’s business, which includes, but is not limited to, detailed business data, technical methods and formulas, software applications, customer and prospective customer lists, names, addresses, and any other data concerning customers, product designs, sales figures, associated costs (including applicable processing fees), pricing information, unpublished financial data, business strategies, marketing insights, and other proprietary knowledge, regardless of whether it is expressly labeled as confidential. Commmerce’s Confidential Information encompasses all data related to our company or the services we provide that is not publicly known, including specifics pertaining to our security measures and protocols.
Both parties agree to utilize each other’s confidential Information strictly as necessary to fulfill their responsibilities under these Terms of Service, adhering to all related obligations outlined herein, including this section. Each party commits to taking all reasonable precautions—at least comparable to those it employs to safeguard its own proprietary information—to prevent the unauthorized duplication, disclosure, or use of any confidential Information. This obligation extends to sharing such information with employees, agents, and subcontractors who require access in order to fulfill these obligations, provided they are bound by confidentiality obligations as stringent as those outlined in this agreement. Additionally, should there be a legal obligation to disclose any confidential Information due to laws, regulations, or court orders, the receiving party must, if legally permissible, promptly notify the disclosing party in writing and make commercially reasonable efforts to ensure the information is treated with confidentiality.
Confidential Information does not include any information that the receiving party can demonstrate: (A) was already publicly available or already known to or in the possession of the receiving party at the time of such disclosure; (B) was independently developed by the receiving party without reference to or use of the disclosing party’s Confidential Information and without violating any provisions of these Terms of Service; or (C) was subsequently received by the receiving party from a source other than the disclosing party, provided that such receipt does not violate any Terms of Service.
In summary, both parties recognize the critical importance of protecting confidential information and commit to upholding the standards and obligations set forth in this agreement to ensure the integrity and security of sensitive information.
VI.INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of (1) your Contributions; (2) use of the Site; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site with whom you connected via the Site.
The Services offered by Commmerce are provided on an "as is" and "as available" basis, meaning that we make no guarantees regarding the reliability, performance, or suitability of our Services for your specific needs. As such, we disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. In no event shall Commmerce be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of, or inability to use, our Services. Commmerce is not responsible for any of your tax obligations or liabilities related to the use of Commmerce’s Services. Furthermore, Commmerce's liability for any errors, interruptions, or failures in the Services shall be limited to the fullest extent permitted by law. By utilizing our Services, you acknowledge and accept these limitations and agree that it is your responsibility to ensure compliance with all applicable laws and regulations.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding that is subject to this indemnification upon becoming aware of it.
VII.THIRD-PARTY SERVICES AND DISCLAIMERS
7.1. Third-Party Integrations
Commmerce integrates with various third-party service providers, including but not limited to payment gateways (e.g., Razorpay, Paytm, PhonePe, PayU, Cashfree) and logistics aggregators (e.g., Shiprocket, WareIQ), to enhance the functionality of its platform. These integrations are provided solely for your convenience and operational efficiency.
By using any third-party service through Commmerce, you acknowledge and agree that such services are governed by the respective terms, conditions, privacy policies, and operational procedures of those third parties. Commmerce does not control, endorse, or assume responsibility for the content, functionality, accuracy, legality, or availability of these external services.
7.2. No Liability for Third-Party Actions
Commmerce shall not be held liable for any loss, damage, delay, service interruption, or other issues arising from your use of third-party services. This includes, but is not limited to:
Payment processing errors or delays
Shipping or fulfillment failures
Data breaches or unauthorized access through third-party platforms
Disputes between you and the third-party provider
You are solely responsible for reviewing and complying with the terms of any third-party services you choose to integrate with your Commmerce account. Any disputes or claims related to such services must be resolved directly with the respective provider.
7.3. Changes and Discontinuation
Commmerce reserves the right to modify, suspend, or discontinue support for any third-party integration at its sole discretion and without prior notice. We recommend that you regularly review the status of your integrations and maintain direct communication with your third-party providers to ensure uninterrupted service.
VIII.INTELLECTUAL PROPERTY AND YOUR PRODUCTS
8.1. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights associated with the services offered by Commmerce, including but not limited to trademarks, service marks, logos, designs, software, and any copyrightable materials, are owned by or licensed to Commmerce and are protected by applicable intellectual property laws. This includes artwork, graphics, images, website templates, widgets, literary works, computer code (including HTML), applications, audio, music, video content, designs, animations, interfaces, and any proprietary identifiers such as logos and domains, regardless of whether they are registered. By utilizing our services, you acknowledge that you do not acquire any ownership rights in Commmerce’s intellectual property, nor do you gain any license to use these assets without explicit prior written consent.
As part of our commitment to enhancing our services, any feedback, comments, or suggestions you provide regarding Commmerce may be utilized by us without any obligation or compensation to you. By submitting feedback, you grant Commmerce a perpetual, irrevocable, royalty-free license to use such feedback for any purpose, including ongoing improvements and enhancements to our services. You also retain all intellectual property rights associated with the user content you create using Commmerce’s platform, which includes designs, images, animations, videos, audio files, and written materials. Commmerce does not claim ownership over your content; however, you acknowledge that in order to provide our services effectively, Commmerce may need to access, upload, and copy your user content onto our platform. This may involve the use of cloud services and content delivery networks (CDNs) for display adjustments, backups, and any other technical requirements essential for delivering our services.
It is your responsibility to ensure that any materials you upload or create do not infringe upon the intellectual property rights of third parties. In the event of any disputes concerning intellectual property claims, Commmerce reserves the right to take necessary actions to protect its rights, including the removal of infringing content or the suspension of accounts deemed to be in violation. By using our services, you agree to respect the intellectual property rights belonging to Commmerce and other third parties, and you commit to adhering to all applicable laws and regulations in this regard.
8.2. YOUR PRODUCTS
Commmerce does not claim ownership over the physical products, content, or materials you submit while using our Services. However, in order to operate the platform effectively, you grant Commmerce a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use such products solely for operational, functional, and promotional purposes. This license includes the rights to host, store, display, reproduce, distribute, modify, translate, and create derivative works from your submitted products, for example, to display product images on storefronts, store data on cloud servers, or deliver content via content delivery networks (CDNs).
This license is essential for Commmerce to provide, enhance, and promote its Services, and to fulfill its obligations under these Terms. You affirm that you hold all necessary rights in the products to grant this license and that your submissions comply with applicable laws.
You also irrevocably waive any moral rights in the submitted products in favor of Commmerce and its successors or sublicensees, to the extent permitted by law.
Importantly, this license applies only to physical goods and services listed for sale and their associated content. It does not extend to your brand assets, logos, or other intellectual property unless explicitly included in a product listing. Merchants retain full ownership of their products and related IP.

8.3. PROHIBITION ON USE OF TRADEMARKS AND CONFUSING TERMS
By using the Services provided by Commmerce, you agree to refrain from purchasing, registering, or utilizing any search engine keywords, pay-per-click keywords (such as those used in Google Ads), trademarks, email addresses, social media usernames, or domain names—including but not limited to top-level domains, sub-domains, and specific page URLs—that incorporate or are similar to Commmerce's trademarks or any other third-party trademarks, including those belonging to Commmerce. This includes any terms, phrases, or variations that could create confusion or mislead individuals into associating your brand or offerings with Commmerce. Engaging in such actions may not only infringe upon Commmerce's intellectual property rights but can also mislead consumers, which is contrary to our commitment to fair competition and ethical business practices. You acknowledge that such misuse can result in significant harm to our brand, reputation, and customer trust. Therefore, you agree that any violation of this provision may lead to immediate corrective action by Commmerce, including but not limited to the suspension or termination of your account, alongside any legal remedies available to us for protecting our trademarks and intellectual property.
To maintain the integrity of our brand and ensure a trustworthy marketplace, we reserve the right to monitor and enforce these provisions as necessary. Your cooperation in adhering to these guidelines is vital for fostering a collaborative and ethical business environment within the Commmerce platform.
IX.ADDITIONAL SERVICES
9.1. SMS MESSAGING
As a merchant using Commmerce’s platform, you are responsible for sending SMS communications to your customers, which must conform strictly to the regulations set forth by the Telecom Regulatory Authority of India (TRAI). Only SMS messages that TRAI has approved are permissible for dispatch to customers, ensuring compliance with legal standards for promotional and transactional messaging. You have the ability to choose from a selection of pre-approved SMS templates that Commmerce provides for various purposes, including order confirmations, delivery notifications, and customer updates. However, it is important to note that you are not permitted to create custom personal or marketing SMS templates outside of the options provided by Commmerce, as this helps maintain compliance and consistency across our platform.
Furthermore, while Commmerce offers a limited number of free SMS communications to merchants, any usage beyond this allowance will incur charges as specified in your pricing plan. It is your responsibility to monitor your SMS usage and be aware of any applicable fees, ensuring that your communication practices are both effective and in accordance with all relevant regulations. By utilizing Commmerce's SMS feature, you acknowledge and accept these terms regarding your responsibility for SMS communications to your customers.
9.2. EMAIL
As a merchant utilizing Commmerce’s platform, you have the ability to send emails to your customers using customized email templates provided by Commmerce. While you can tailor these templates to fit your branding and messaging needs, please be aware that this customization is subject to certain limitations to ensure compliance and maintain the integrity of the platform. Each Commmerce merchant bears full responsibility for all content generated through their respective Stores, including the emails sent via our Email Services. It is imperative that you familiarize yourself with and adhere to all relevant laws and regulations concerning your use of Email Services and the content you generate or distribute. This includes, but is not limited to, compliance with anti-spam legislation and privacy laws applicable to your jurisdiction. Moreover, your use of the Email Services must align with Commmerce’s Privacy Policy, ensuring that you handle customer information responsibly and ethically. While crafting your communications, you should make commercially reasonable efforts to avoid sending sensitive personal data that may violate privacy standards or regulations. By using the Email Services, you acknowledge and accept these responsibilities, understanding that any failure to comply with legal requirements may result in penalties or account suspension.
When a customer subscribes to your newsletter, a default template is automatically included in the email templates available to you as a merchant. Additionally, you have the option to create a customized newsletter that will be sent to subscribers upon their registration. While you can personalize these newsletters to align with your brand and message, it is essential to note that such customization is limited in scope and must adhere strictly to Commmerce’s policies to ensure compliance with all relevant guidelines and best practices. Subscribers have the right to opt-out of receiving these emails at any time, and you must ensure that an easy and clear unsubscribe option is included in every email sent, in accordance with anti-spam regulations.
Furthermore, while Commmerce offers a specific number of free emails as part of your subscription, any email communications sent beyond this allowance may incur additional charges, as detailed in your pricing plan. By utilizing the email newsletter feature, you acknowledge your responsibility to manage your communications effectively while complying with all applicable regulations and Commmerce’s policies regarding email usage.
9.3. THEME/ TEMPLATE
As a merchant on Commmerce, you have the option to customize the appearance of your Store by selecting a design template from Commmerce’s Theme Store (hereinafter to be referred to as “theme”). It is important to understand that changing your website’s theme carries certain risks, particularly the potential for data loss. Specifically, when you switch themes, there is a possibility that your images and content may be deleted, requiring you to re-upload them, which Commmerce will not be able to assist you with. With this understanding, you should proceed with the theme change only if you fully acknowledge these risks and are comfortable with the implications.
Before initiating any theme change, merchants are strongly advised to back up their store content, including product descriptions, images, custom code, and layout settings. This precaution helps ensure that critical information can be restored if needed.
Once you initiate the process and click "proceed," your Store’s theme will be updated within 60 minutes, during which time your website will be temporarily unavailable. Therefore, we strongly advise scheduling any theme changes during periods when your business is least likely to be impacted. Additionally, please be aware that Commmerce may periodically modify themes to implement technical updates and improvements, which may include necessary adjustments to maintain compatibility with our Services. By proceeding with customization, you accept these conditions and the associated risks of changing your Store’s theme. Your acknowledgment of these factors is critical to ensuring a smooth transition and maintaining the integrity of your online presence.
X.COMMMERCE SERVICES
As a merchant on the Commmerce platform, you have the opportunity to engage with industry experts to enhance various aspects of your Store. You can work with an expert either directly or through the Commmerce Services, a dedicated resource designed to connect you with skilled professionals who can assist with a wide range of services, including design, development, marketing, and more. The Commmerce Services offers curated recommendations, making it easier for you to find the right expert to meet your specific needs.
Through this platform, you can conveniently search for, hire, and communicate with experts directly from your Account Admin interface, streamlining the collaboration process. Please note that while Commmerce provides this Marketplace as a valuable tool, it is your responsibility to evaluate and select the expert that best fits your requirements. Commmerce is not liable for any interactions or agreements between you and the experts, including the quality of services provided or any disputes that may arise. By utilizing the Commmerce Services, you acknowledge and accept these terms, understanding that your engagement with experts is conducted independently of Commmerce.
Furthermore, we recommend maintaining clear communication with the selected experts and establishing written agreements regarding scope, deliverables, timelines, and fees to ensure a mutually beneficial collaboration. Your proactive approach in these matters will contribute significantly to the success of your projects with the experts.
XI.COPYRIGHT INFRINGEMENT AND TAKEDOWN PROCEDURE
Commmerce is committed to upholding the protection of intellectual property rights and encourages all merchants using our platform to do the same. In alignment with the Indian Copyright Act of 1957, we recognize our obligation to respond promptly to notices alleging copyright infringement. If an individual believes that a merchant on our platform is infringing upon their intellectual property rights, they can submit a formal complaint under the provisions of the Act. Such complaints should be directed to Commmerce’s designated agent using the contact us form provided on our website.
Upon receiving a valid notice of copyright infringement, Commmerce may take appropriate action, which may include the removal or disabling of access to the materials identified in the notice. Merchants who receive a notification of alleged infringement have the right to contest the claim by submitting a counter-notification through our designated form. Following the submission of a counter-notification, the original complainant will have 14 business days to seek a court order to restrain the merchant from continuing the alleged infringing activity. If no such legal action is initiated within this timeframe, Commmerce will promptly restore the materials in question to the merchant's Store. By using Commmerce’s services, all merchants agree to comply with these guidelines regarding intellectual property rights and acknowledge the consequences of infringing upon the rights of others as stipulated in the Indian Copyright Act.
To further promote a fair and lawful marketplace, we recommend that all merchants familiarize themselves with the provisions of the Copyright Act and ensure that their content does not infringe upon the intellectual property rights of others. This proactive approach is essential in protecting both your own rights and those of fellow creators within the Commmerce platform.
XII.PRIVACY POLICY AND DATA PROTECTION
12.1.PRIVACY POLICY
Commmerce is committed to safeguarding your privacy and ensuring that your personal information is handled with the utmost care and transparency. Our Privacy Policy forms an integral part of these Terms and Conditions and outlines how we collect, use, disclose, and store your information when you use our Services. We may gather personal information, such as your name, email address, phone number, and payment details, alongside non-personal data related to your interactions with our platform. This information is essential for providing you with a seamless experience, processing transactions, improving our Services, and communicating important updates. We implement stringent security measures to protect your data from unauthorized access, loss, or misuse. We are dedicated to ensuring that our practices comply with applicable laws and regulations surrounding data protection and privacy.
Furthermore, our Privacy Policy details your rights concerning your personal information, including your ability to access, modify, or request the deletion of such data. Additionally, we may use cookies and similar technologies to enhance your experience on our site and track user behavior. By using Commmerce's Services, you acknowledge that you have reviewed our Privacy Policy and consent to the collection and use of your information as described therein. We recognize that the personal and business information you provide is sensitive, and we are committed to adhering to applicable data protection laws, including the provisions outlined in the Indian Information Technology Act and relevant rules applicable to the processing of personal data. Our data protection framework includes the use of advanced encryption technologies, secure servers, and regular security audits to prevent unauthorized access, loss, or misuse of your information. We limit access to your data solely to authorized personnel who have undergone rigorous training in data protection practices, ensuring they handle information responsibly and in full compliance with our policies.
Additionally, we strive to maintain transparency regarding the data we collect and how it is used. You have the right to access, correct, and request the deletion of your personal data in accordance with applicable laws. We are committed to continuously reviewing and enhancing our data protection protocols to address emerging threats and evolving regulatory requirements. By utilizing Commmerce’s Services, you consent to our practices concerning data protection in accordance with Indian laws, and you acknowledge your responsibility to protect the data of your customers as well, ensuring compliance with all relevant legal obligations.

12.3.DATA USAGE
Commmerce respects merchant ownership of customer data. While merchants retain full rights over their customer information, Commmerce may access certain categories of data strictly for operational and analytical purposes, including:
Order and transaction data: to ensure billing, logistics, and fraud prevention
Customer contact details (e.g., name, email, phone): for service delivery and communication
Device and usage metadata (e.g., IP address, browser type): for performance optimization and security
Store activity logs: to support analytics
Data Retention:
Data is retained for as long as necessary to provide services or to meet legal, accounting, or regulatory requirements. Operational data is typically maintained for the duration of the store’s active subscription and may be retained afterward as required for compliance, particularly in relation to customer transactions and financial recordkeeping.
Third-Party Sharing:
Commmerce may share limited data with trusted service providers such as cloud infrastructure partners, payment processors, analytics tools, or logistics partners. These entities act as sub-processors and are bound by strict confidentiality and data protection requirements.
Data Usage and Analysis:
Commmerce may use anonymized or aggregated data to improve platform functionality, optimize checkout experiences, enhance analytics, and develop new features to provide more value to merchants. Any such use is carried out responsibly and in compliance with applicable data protection laws, ensuring that personal or sensitive merchant and customer information is not disclosed or misused.

12.4.DATA DELETION AND BACKUP POLICY
Commmerce’s data deletion policy ensures the secure handling and permanent removal of merchant data in compliance with our Terms & Conditions and applicable data protection laws. Merchant data is permanently deleted 45 days after account suspension, cancellation, or non-renewal.
Data Backup:
Merchants are responsible for maintaining their own data backups. Commmerce strongly recommends that merchants export or back up all required data prior to subscription expiry or account suspension to prevent irreversible loss.
Data backup and export options are available only for modules that include built-in export functionality within the platform. Export capabilities may be subject to certain technical limitations, such as file size, record count, or frequency, to maintain system stability and security.
If a merchant encounters a technical issue while exporting data within these permitted limits, they should contact support@commmerce.com for assistance. Commmerce will make reasonable efforts to facilitate data access or resolve the issue in accordance with platform policies and operational constraints.
Grace Period and Restoration:
During the 45-day retention period following suspension or non-renewal, merchants may contact support@commmerce.com to request temporary reactivation or a short-term data hold to facilitate backup or renewal. Such requests are evaluated on a case-by-case basis and depend on account status, platform availability, and compliance with Commmerce’s policies.
After the 45-day period, all merchant data is permanently and irreversibly deleted from Commmerce’s active systems and backups. Once deletion is completed, restoration is not possible, and no archival copies are retained.
XIII.TERM AND TERMINATION
1.These Terms of Service will commence on the date of your successful registration for access to our Services and will remain in effect until terminated by either you or Commmerce, as outlined below (hereinafter to be referred to as the "Term").
2.You may cancel your Account and terminate these Terms at any time by contacting Commmerce’s Support Team or mailing us at support@commmerce.com and following the specific instructions provided in their response.
3.Without limiting any other remedies available to us, Commmerce reserves the right to suspend or terminate your Account or these Terms of Service at any time, without prior notice, and at our sole discretion (unless otherwise mandated by law). This may occur, for example, if we have reason to believe you have engaged in fraudulent activity, violated platform policies, uploaded prohibited content, posed security threats, or otherwise compromised the integrity of our Services. Termination does not affect any rights or obligations that arose prior to its effective date.
Upon termination by either party for any reason:
Commmerce will discontinue Services and revoke access to your Account.
Your Commmerce Store will be taken offline.
Any outstanding balance owed to Commmerce for Services utilized until the effective date of termination will immediately be due in full.
Unless explicitly stated otherwise, no refunds (full or pro-rata) will be issued for Fees already paid.
This refund policy ensures fairness and consistency across all users and prevents misuse of the platform. Even if part of the subscription period remains unused, refunds are not provided when termination results from merchant fault or violation of these Terms.
However, in rare cases where termination is not caused by merchant fault, such as platform discontinuation or technical incompatibility introduced by Commmerce, a discretionary refund may be considered. Merchants may submit a written request to support@commmerce.com with relevant details. Commmerce will review the request and respond within ten (10) business days. All such decisions remain at Commmerce’s sole discretion.
4. Survival Clause:
Upon termination or expiration of these Terms of Service, the following provisions shall expressly survive:
Confidentiality obligations (Section V)
Intellectual property rights and licenses (Section VIII)
Payment obligations (Sections 1.8, 1.8.1, 1.11, XXI)
Indemnification (Section VI)
Limitations of liability (Section XVI)
Dispute resolution and arbitration (Sections 1.15 and XIV)
These surviving provisions remain binding and enforceable notwithstanding termination, ensuring continuity of obligations and protection of both parties.
5.If you have acquired a domain name through Commmerce, it is important to understand that you are unable to cancel or terminate your ownership of the domain until the end of the specified tenure for which the domain was originally purchased. This means that the domain name will remain active and under your ownership for the duration of the registration period, which is typically set at one year or as outlined in your purchase agreement. However, you do have the option to resell your domain name before the tenure concludes, providing you with the flexibility to transfer your rights to another party if you choose to do so. Should you decide to pursue the resale of your domain, it is your responsibility to ensure that you adhere to any applicable laws and regulations governing such transactions, including any terms specified by Commmerce and the domain’s registrar. Upon successfully selling your domain, you will need to follow the necessary procedures to transfer ownership to the new buyer while ensuring that all obligations related to your original registration are fulfilled. Please note that any actions regarding the resale of your domain must be conducted in a manner that does not violate Commmerce's policies or the terms of service provided by the domain registrar. Commmerce will not be a part of such transfers and it will be your sole responsibility.
6. Additional Considerations: It is advisable to keep documentation of your domain purchase and any resale agreements for your records. Should you have any questions regarding the termination process or domain management, please refer to our Support Team for assistance or mail us at support@commmerce.com .
XIV.ARBITRATION
This section outlines the agreed‑upon processes for resolving disputes between you and Commmerce. Before initiating any formal claims against Commmerce, you agree to make a good‑faith effort to resolve the issue informally. This may involve reaching out to our customer support team to discuss your concerns and seek a mutually agreeable solution. If, after these informal efforts, we are unable to resolve the dispute, all formal claims must be submitted to arbitration, as detailed in this section.
You retain the right to opt out of the arbitration requirement within thirty (30) days of accepting this Agreement. To do so, you must provide written notice to Commmerce indicating your decision to opt out. Whether a dispute is resolved through arbitration or in a court of law, any claims must be brought individually. This means that you may not pursue claims as part of a class action or representative action, and each claim will be addressed on its own merits. By agreeing to these terms, both you and Commmerce acknowledge and accept this framework for dispute resolution, promoting a fair and efficient process for handling any potential disagreements that may arise during your use of our Services.
If the dispute cannot be resolved within thirty (30) days of such negotiations, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended), conducted in English, with the venue of arbitration in Bengaluru, India. You expressly agree that any hearings will take place exclusively in Bengaluru and not in any other jurisdiction. This provision applies regardless of where the parties are located or where the dispute occurred, ensuring that all legal matters are resolved in the designated venue under Indian law.
That said, Commmerce remains committed to resolving disputes amicably and, at its sole discretion, may consider alternative resolution mechanisms such as remote or virtual arbitration hearings, remote mediation, or negotiated settlements if mutually agreed upon by the parties. Such alternatives are intended to provide fair access to dispute resolution for merchants located outside Karnataka or abroad, without altering the designated jurisdiction of Bengaluru.
Both parties acknowledge that prompt communication regarding disputes is essential for fostering a collaborative resolution process. Therefore, merchants are strongly encouraged to contact Commmerce’s customer support for any concerns before escalating matters to arbitration or legal proceedings.
XV.MODIFICATIONS TO TERMS OF SERVICE
Commmerce reserves the right to update or modify its Terms of Service, policies, and pricing at any time to reflect changes in business operations, legal obligations, or technical requirements. These updates are essential to maintaining platform integrity, compliance, and service quality.
In the event of a material change that significantly affects your rights or ability to use the Services, Commmerce will provide advance notice through one or more of the following channels:
Email sent to your registered contact address
In-dashboard alerts within the Commmerce admin panel
Announcements or policy updates published on the Commmerce website
Commmerce will generally provide a minimum of fifteen (15) calendar days’ notice before such changes take effect. However, if updates are required urgently, for example, due to legal mandates, regulatory directives, or security vulnerabilities, prior notice may not be feasible. In such cases, Commmerce will make reasonable efforts to inform merchants as promptly as possible.
By continuing to use the Services after changes are communicated, you acknowledge and accept the revised Terms. We encourage merchants to enable notifications and regularly review the Terms of Service to remain informed. Your ongoing use of the platform constitutes acceptance of any updates, reflecting our commitment to transparency and responsible platform stewardship.
XVI.LIMITATIONS OF LIABILITY AND INDEMNIFICATION
Commmerce provides its web‑builder platform and associated tools on an “as‑is” basis, and while we continuously strive to improve our Services based on merchant feedback, Commmerce retains full discretion over feature development and does not guarantee the implementation of any specific functionality. We reserve the right to modify, discontinue, or restructure any aspect of the platform, including its design, content, modules, third‑party integrations, and system architecture at any time and without prior notice, and merchants shall have no claim against Commmerce for such changes.
Although Commmerce endeavors to maintain uninterrupted service, we cannot guarantee flawless operation or immunity from unauthorized access, hardware or software failures, or other disruptions. Accordingly, Commmerce shall not be liable for any direct or indirect damages, losses, or interruptions resulting from such issues. Payment for Services does not confer any ownership rights over Commmerce’s system, source code, or infrastructure, and Commmerce may alter or remove features, including layouts, styles, fonts, plugins, and tools, without notice, with merchants accepting that such changes may affect the appearance or functionality of their websites.
To the fullest extent permitted by law, Commmerce disclaims all liability for direct, indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, data, goodwill, or business opportunities, whether arising in contract, tort, negligence, or otherwise, even if Commmerce has been advised of the possibility of such damages. In no event shall Commmerce be obligated to pay compensation, reimbursement, or damages of any kind, with your sole and exclusive remedy for dissatisfaction with the Services being to discontinue use.
That said, if a disruption or loss is proven to result directly from Commmerce’s system failure or negligence, merchants may submit a written request to support@commmerce.com. Commmerce will review such requests and respond within ten (10) business days. If verified, Commmerce may, at its sole discretion, offer limited remedies such as service credits, partial fee adjustments for the affected billing cycle, or technical assistance to mitigate operational impact. Any compensation is discretionary, assessed case‑by‑case, and Commmerce’s total aggregate liability shall not exceed the subscription fees paid by the merchant in the twelve (12) months preceding the event.
Merchants further agree to indemnify, defend, and hold harmless Commmerce, its affiliates, directors, officers, employees, and agents against any claims, damages, liabilities, costs, or expenses arising from their own actions, content, or misuse of the platform, including violations of applicable laws or third‑party rights. This indemnity obligation shall survive termination or expiration of these Terms of Service.
Commmerce shall not be held liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, cyberattacks, power outages, strikes, governmental actions, or regulatory changes, and such events shall constitute force majeure.
Merchants acknowledge that Commmerce does not guarantee uninterrupted service availability and that temporary interruptions, maintenance, or technical issues may occur. Commmerce disclaims liability for such interruptions except where expressly committed under a separate service level agreement. Furthermore, Commmerce retains all intellectual property rights in its platform, software, and services, while merchants retain ownership of their own content, products, and trademarks, subject to the limited license granted to Commmerce for promotional purposes unless revoked.
Regardless of the reasons for these changes, whether disclosed or not, merchants acknowledge that they are bound by the terms and conditions of this agreement and are advised to regularly review these terms as they may be subject to change, ensuring they remain informed about their rights and responsibilities while using our Services.
XVII.ANTI-SPAM POLICY
Commmerce maintains a strict no‑spam policy across its services and prohibits the sending of unsolicited messages through our platform or any services associated with third parties. In the event of any issues arising from spam activities on Commmerce’s servers or during the operation of our services—whether due to internal or external factors—Commmerce reserves the right to take appropriate actions to address the situation. These actions may include terminating the services provided to you and, if necessary, removing your site from our network without prior notice.
Certain applications within the Commmerce platform allow you to send messages via advanced communication methods such as email and SMS. It is strictly prohibited to misuse these applications for sending spam messages, and Commmerce may terminate access to these functionalities at any time if deemed inappropriate, without prior notification.
Our system also includes features designed to manage outgoing communications and handle user removal requests from mailing lists. However, Commmerce does not warrant that these applications comply with the legal requirements in your specific jurisdiction. It is solely your responsibility to ensure that your use of these elements adheres to all applicable regulations, and you may be held liable to indemnify Commmerce for any resultant damages.
Commmerce encourages users and organizations across the network to report any spam‑related activities to help us identify and mitigate such occurrences. Sending spam through any other servers is also strictly prohibited; sites found engaging in such practices may be blocked and held liable to indemnify Commmerce for any resultant damages.
Additionally, while our platform may provide tools for monitoring user activities, including management of mailing lists, Commmerce does not guarantee that the data in these lists is current, complete, or accurate. We shall not be held responsible for the quality or content of this information should it be utilized by the site owner. To support compliance with this policy, we recommend that you familiarize yourself with relevant anti‑spam legislation, such as the DPDP Act or its equivalents in your jurisdiction, and ensure that all communications sent through Commmerce’s platform adhere to these regulations.
All disputes, controversies, or claims arising out of or relating to these Terms of Service, the Commmerce platform, or any related services shall be resolved exclusively through binding arbitration in Bengaluru, India, in accordance with the Arbitration and Conciliation Act, 1996, and under the substantive laws of India. The designated jurisdiction and governing venue for all arbitration, mediation, or legal proceedings shall remain Bengaluru, ensuring consistency, compliance, and fair interpretation of these Terms for all merchants, whether domestic or international.
That said, Commmerce remains committed to resolving disputes amicably and, at its sole discretion, may consider alternative resolution mechanisms such as remote or virtual arbitration hearings, remote mediation, or negotiated settlements if mutually agreed upon by the parties. Acceptance of these Terms of Service constitutes agreement to the jurisdiction and governing law specified herein.
XVIII.DATA PROTECTION, RETENTION & SUB‑PROCESSORS
18.1.CATEGORIES OF DATA ACCESSED
Commmerce respects merchant ownership of customer data. While merchants retain full rights over their customer information, Commmerce may access and process certain categories of data strictly for operational and analytical purposes, including:
Order and transaction data – to support billing, logistics, and fraud prevention
Customer contact details – such as name, email, and phone number, for service delivery and communication
Device and usage metadata – such as IP address, browser type, and session activity, for performance optimization and security
Store activity logs – to support analytics and improve platform functionality
18.2.DATA RETENTION
Merchant and customer data is retained for the duration of the store’s active subscription. Following account suspension, cancellation, or non‑renewal, data will be securely retained for forty‑five (45) days to allow merchants the opportunity to export or back up their information. After this period, all data is permanently and irreversibly deleted from Commmerce’s active systems and backups, with no possibility of restoration.
18.3.APPROVED SUB‑PROCESSORS
Commmerce works with vetted and compliant sub‑processors to support secure operations. These include:
Infrastructure: Amazon Web Services (AWS), Google Cloud Platform (GCP)
Payments: Razorpay, PayU, PhonePe, Cashfree, CCAvenue, Paytm
Logistics: Shiprocket, WareIQ
Analytics: Google Analytics
Content Delivery: Leading global CDNs
All sub‑processors are contractually bound to confidentiality, data protection, and limited access aligned with service needs.
18.4.MERCHANT BACKUP RESPONSIBILITY
Merchants are solely responsible for maintaining their own data backups. Commmerce provides limited export tools within certain modules of the platform, subject to technical constraints such as file size, record count, or frequency. Commmerce strongly recommends merchants export or back up all required data prior to subscription expiry or account suspension. Restoration of data is not possible after the forty‑five (45) day retention period.
18.5.DATA USAGE RESTRICTIONS
Commmerce may use anonymized or aggregated data to improve platform functionality, optimize checkout experiences, enhance analytics, and develop new features. However, no identifiable merchant or customer data is used for marketing, external advertising, behavioral profiling, or AI training for third parties. Any data usage is carried out responsibly and in compliance with applicable data protection laws.
XIX.THIRD-PARTY SITES OR LINKS
Commmerce’s Services may contain links to third‑party websites or resources. These links are provided for convenience only, and Commmerce does not endorse, control, or assume responsibility for the content, products, or services available on such third‑party sites. Merchants acknowledge that access to third‑party sites is at their own risk and subject to the terms and policies of those sites.
Merchants are expressly prohibited from linking, embedding, or redirecting their Commmerce Stores to any websites or online resources that contain, promote, or facilitate:
Illegal activities or unlawful content.
Harmful, abusive, defamatory, obscene, or violent material.
Malware, phishing, or other security threats.
Content that infringes intellectual property rights or violates applicable laws.
By using our services, you acknowledge and agree that Commmerce reserves the right to disable access to or remove any third-party links at our discretion and without prior notice. We strongly encourage users to exercise caution when interacting with third-party websites and to review their respective terms of service and privacy policies before engaging with them. Your interactions with these third-party sites are solely at your own risk, and Commmerce shall not be liable for any losses, damages, or liabilities arising from such interactions.
Additionally, we recommend periodically reviewing the links provided on our platform, as they may change over time. Staying informed will help you navigate external content responsibly and safely.
XX.GENERAL CONDITIONS
These Terms of Service, along with any documents referenced within, represent the complete agreement between you and Commmerce, regulating your use of our services and your account. This agreement overrides any previous arrangements or understandings you may have had with Commmerce, including any earlier iterations of the Terms of Service.
The failure of Commmerce to enforce any right or provision within these Terms of Service shall not be considered a waiver of that right or provision. Should any provision of the Terms, including all terms, conditions, and referenced documents, be deemed invalid or unlawful by a court of competent jurisdiction, that provision will be modified and interpreted to reflect the original intent of the provision as closely as permissible under the law. All other provisions of the Terms of Service will continue to remain in full effect.
Except for Commmerce and its affiliates, no individual or entity that is not a party to these Terms of Service shall have any rights to enforce any provision contained herein, unless explicitly stated otherwise within these Terms. This includes individuals or entities that may have been referred to by name or categorized in any way. To be clear, this provision does not alter or affect the rights of any authorized assignee or transferee of these Terms.
All terms and provisions contained in these Terms of Service will be binding upon and benefit both parties, along with their respective heirs, successors, permitted assigns, and legal representatives. Commmerce reserves the right to assign these Terms of Service at any time without notifying you or requiring your consent. Conversely, you do not have the right to assign or transfer these Terms, or any rights or obligations outlined herein, to any third party without the prior written consent of Commmerce, which may be granted or withheld at Commmerce's sole discretion.
Should any provision or part of a provision in these Terms of Service be deemed invalid, illegal, or unenforceable for any reason, such determination will not impact the validity or enforceability of the remaining provisions or unaffected portions of the provision. In such cases, these Terms of Service will be interpreted as though the invalid, illegal, or unenforceable provision had never been included. This ensures that all other terms remain in full effect and enforceable.
For your convenience, we recommend that you keep a copy of these Terms of Service for your records and review them periodically to stay informed about any changes or updates.
XXI.PAYMENT POLICY
Acquiring any product or service from Commmerce requires full payment to complete the transaction. While Commmerce reserves the right to adjust service prices at any time, the rates are guaranteed for the prepaid subscription periods. Please be advised that subscriptions for merchants will remain inactive until full payment is received by Commmerce.
It is crucial to verify your card details carefully before proceeding with the payment. If the payment amount is debited from your account but not received by Commmerce, your subscription will not be activated. In such cases, the deducted funds will be returned to your source account by your bank, and you will need to follow up with them for resolution.
To avoid any disruption to your store, we recommend renewing your subscription before the expiration date. Additional days will be added to your current subscription period upon renewal. Tax invoices corresponding to your charges will be sent to the email address registered with your account immediately after billing. Our system will automatically generate these invoices for your records, which can also be downloaded from your store's admin panel.
Payments made via deposit, bank transfer, or bank checks will only be deemed valid once they are fully processed and approved by the bank. A 3-day money-back guarantee is available following the initial purchase of a new website package; however, refunds will not be issued after this period. Please note that the 3-day money-back guarantee applies solely to website packages and does not extend to renewal payments (automatic or manual), domains, email accounts, app subscriptions or other services.
For your convenience, we encourage you to keep receipts or confirmations of your transactions for your records. Should you have any questions regarding payments or refunds, please do not hesitate to contact Commmerce’s support team for assistance.
XXII.Data Processing Agreement (DPA)
Commmerce may process personal data on behalf of the Merchant while delivering its services, including but not limited to POS systems, billing software, and website builders. To ensure compliance with applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the parties agree to be bound by the terms of the Data Processing Agreement (“DPA”).
This DPA governs Commmerce’s processing of personal data on behalf of the Merchant (as the “Data Fiduciary” under Indian law) and sets out:
The categories and types of personal data processed
The nature, scope, and purpose of processing
The duration and legal basis of data retention
The technical and organizational security measures in place
Obligations for reporting data breaches and assisting in compliance
Commmerce’s responsibilities in enabling the Merchant to fulfill data principal rights (under the DPDP Act)
Disclosure and accountability regarding sub-processors (e.g., AWS, Google Cloud, payment gateways)
Rules for any cross-border transfer of personal data (subject to Indian government regulations)

23.2SMS and Email Usage Limits
Each subscription plan includes a predefined monthly limit for SMS and email communications. If you exceed these limits, you may purchase additional SMS and email credits directly from your Commmerce admin panel. These purchases are subject to the pricing and terms displayed at the time of purchase.
Commmerce does not automatically block your account or upgrade your plan when limits are exceeded. However, exceeding your quota without purchasing additional credits may result in temporary suspension of outbound communications until the quota is replenished.
It is your responsibility to monitor usage and ensure timely top-ups to maintain uninterrupted messaging services.

Credit Rollover Policy
Unused SMS and email credits from your monthly quota will roll over to the following month, provided your store subscription remains active and in good standing. If your subscription is canceled, paused, or expired, any remaining credits will be forfeited and cannot be recovered.
It is your responsibility to monitor your subscription status to ensure uninterrupted access to rollover credits. Commmerce reserves the right to modify this policy at its discretion, with prior notice.

Illicit Drugs and Substances: Drugs and drug paraphernalia which includes illegal drugs and drug accessories, including herbal drugs like salvia and magic mushrooms. This too includes Drug test circumvention aids which include drug cleansing shakes, urine test additives, and related items; (Endangered species which includes plants, animals or other organisms (including product derivatives) in danger of extinction;
Counterfeit Goods: Counterfeit and unauthorized goods which includes replicas or imitations of designer goods; items without a celebrity endorsement that would normally require such an association; fake autographs, counterfeit stamps, and other potentially unauthorized goods
Government IDs or documents: This includes fake IDs, passports, diplomas, and noble titles
Gambling and Betting Products: Gaming/gambling which includes lottery tickets, sports bets, memberships/ enrollment in online gambling sites, and related content
Tobacco and Related Products: Including cigarettes, roll-your-own tobacco, and vaping products.

Hate Speech and Violence: Items promoting hate speech, violence, or discrimination against individuals or groups that defame or slander any person or groups of people based on race, ethnicity, national origin, religion, sex, or other factors

Illegal Activities: Hacking and cracking materials which includes manuals, how-to guides, information, or equipment enabling illegal access to software, servers, websites, or other protected property
